General Terms and Conditions of Sale All our deliveries are subject to the general terms and conditions of sale set out below. Any exception must be made in writing and expressly accepted by our company. 1. Acceptance of Terms Each order automatically implies the customer's acceptance of our general terms and conditions of sale and the rejection of their own general terms and conditions of sale and purchase, unless otherwise expressly agreed. 2. Delivery Times Delivery times are provided for informational purposes only. Delays cannot result in compensation, penalties, or contract termination. INTRAFIN N.V. declines all responsibility for damages or penalties caused by late delivery. Delivery deadlines will be extended during periods of delay. We will promptly inform customers of any significant delays. Pre-Orders and Product Allocation For pre-orders of popular products, including but not limited to items such as Pokémon products, there is a risk that demand may exceed supply. In such cases, even pre-orders placed on time may be subject to allocation , resulting in partial or non-delivery of the pre-ordered items. INTRAFIN N.V. shall not be held liable for any claims, losses, or damages, including loss of profit, resulting from non-delivery or reduced delivery quantities. By placing a pre-order, the customer acknowledges and accepts this risk. 3. Taxes and Duties Any taxes, duties, indemnities, or similar charges, established in accordance with Belgian laws, shall be borne by the customer. 4. Payment Terms INTRAFIN N.V. invoices are due upon receipt unless explicitly agreed otherwise and noted on the front of the invoice. Payment terms are as follows: o Any delay in payment will automatically and without formal notice incur interest of 12% per year. o In case of total or partial non-payment of the debt by the due date, the outstanding balance will be increased by 15%, with a minimum of €125, as a fixed administrative fee, even if a payment extension has been granted. o Additional costs, including but not limited to collection fees, bailiff fees, lawyer fees, and administrative expenses, will be borne by the debtor. o Total or partial non-payment of an invoice by its due date will render all sums due, even those not yet due, immediately payable. In case of non-payment, INTRAFIN N.V. reserves the right to cease all deliveries and consider all deliveries and the contract as automatically canceled for the entirety or the remaining portion without prior formal notice. The goods remain the property of INTRAFIN S.A. until full payment has been made. 5. Claims and Complaints If you wish to submit a claim, please do so by registered mail within 8 days of delivery. For faster assistance, we encourage you to notify us as soon as possible via email or phone. Claims submitted after this period will be considered invalid. 6. Retention of Ownership The goods remain the property of INTRAFIN S.A. until full payment has been made. 7. Governing Law and Jurisdiction Any disputes arising from this agreement will be governed by Belgian law. Disputes fall under the exclusive jurisdiction of the courts in the Brussels district, except where otherwise required by mandatory legal provisions. 8. Language of Terms These terms and conditions are binding regardless of the language in which they are provided. In case of confusion or discrepancies, the Dutch language version will take precedence.
